Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Coscholar ("the Service"), operated by Coscholar ("Company," "we," "us," "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to all of these Terms, you must immediately stop using the Service. Your continued use of the Service constitutes your ongoing acceptance of these Terms.

2. Description of Service

Coscholar is an AI-powered academic research assistance platform that provides literature review writing, academic paper search, manuscript review, and data analysis tools. The Service is an assistive tool only. It uses artificial intelligence to help with research tasks but does not and cannot replace professional academic judgment, peer review, editorial decisions, or expert analysis. All outputs are suggestions and drafts that require human review.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. By using Coscholar, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration & Security

You may be required to sign in using a third-party authentication provider (e.g., Google). You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You must notify us immediately at emad@coscholar.ai if you suspect unauthorized use. We are not liable for any loss or damage arising from your failure to protect your account.

You agree to use Coscholar only for lawful purposes and in accordance with these Terms. You must not:

6. Intellectual Property

Your content: You retain ownership of all content you upload to Coscholar (papers, manuscripts, datasets, queries). You grant us a limited, non-exclusive, temporary license to process your content solely for the purpose of providing the Service to you. This license terminates when your session ends.

Generated outputs: AI-generated outputs (literature reviews, analysis results, reports) are provided for your personal and academic use. You are solely responsible for ensuring your use of these outputs complies with your institution's academic integrity policies. Coscholar does not claim ownership of generated outputs, but makes no guarantee that outputs are free from errors, omissions, or AI-generated inaccuracies.

Our property: The Service itself — including its design, code, architecture, branding, logos, prompts, workflows, and all related intellectual property — remains the exclusive property of Coscholar. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

7. Data Handling & Third-Party Services

Uploaded files are processed temporarily to generate results and are not permanently stored after your session ends. To operate the Service, your content may be transmitted to third-party AI providers (including Anthropic/Claude) for processing. By using the Service, you consent to this processing. See our Privacy Policy for full details on data collection, use, retention, and third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, reliable, or complete; (d) any errors in the Service will be corrected; or (e) the Service will be free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COSCHOLAR, ITS FOUNDER, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Coscholar, its founder, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; (d) your use of AI-generated outputs in any context; (e) any claim that your uploaded content or use of outputs caused damage to a third party; or (f) any academic misconduct or integrity violations resulting from your use of the Service.

You are solely responsible for complying with your institution's academic integrity policies, AI usage policies, and any applicable professional codes of conduct. Coscholar is a research assistance tool — it is your responsibility to:

We aim to keep Coscholar available at all times but do not guarantee uninterrupted, continuous, or secure access. The Service may be temporarily or permanently unavailable due to maintenance, updates, technical failures, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.

14. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice or liability, for any reason, including but not limited to violation of these Terms, abusive usage, or suspected fraud. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) shall survive.

15. Changes to Terms

We may update these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically. For material changes, we will make reasonable efforts to notify you via the platform or email.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Coscholar operates, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, with the proceedings conducted in English. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Coscholar regarding your use of the Service and supersede all prior agreements, representations, and understandings.

19. No Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provision. Any waiver must be in writing and signed by Coscholar.

20. Force Majeure

Coscholar shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.
